What accounting obligations does an Andorran company have?

An SL, SLU, SA or SAU must keep orderly accounts, retain invoices and supporting documents, and prepare annual accounts that faithfully reflect the company's assets, financial position and results. These accounts must be approved by the shareholders within the first six months following the year end, then filed electronically with the relevant register. Signed accounting records must be kept at the registered office for six years.

Failing to file on time isn't a minor oversight: it can lead to publication in the BOPA, certain administrative formalities being blocked, and a penalty ranging from €601 to €2,000. A dormant or inactive company remains subject to the same obligations — having no turnover doesn't exempt you from filing accounts.

Corporate tax and IGI: deadlines you can't afford to miss

The general corporate income tax rate is 10%, calculated on taxable profit after adjustments required by law — never on turnover. The return must be filed and the tax paid within the deadline following the year end, whose date depends on the company's chosen financial year.

IGI, the consumption tax, applies at a general rate of 4.5% — with reduced or increased rates depending on the type of transaction. How often it needs to be filed depends on the volume of business: quarterly for most small structures, with specific rules depending on turnover and sector. A company invoicing foreign clients also needs to determine whether IGI applies, is reverse-charged, or doesn't apply at all, depending on where the service is deemed to take place — something we check activity by activity, not once and for all.

Is an audit required? The thresholds to know

An annual audit isn't automatic: it becomes mandatory when, over two consecutive financial years, the company exceeds at least two of the following three thresholds — total assets above €3.6 million, annual turnover above €6 million, or a headcount above 25 employees for an SL, 50 for an SA. An audit is also required where turnover exceeds €10 million over two consecutive financial years. CASS and payroll management

As soon as an Andorran company employs staff, it must register with CASS, Andorra's social security body, and register each employee no later than the day their employment begins. For a director managing a newly incorporated company, the obligation to contribute generally begins thirty calendar days after the company's registration with the Companies Register.
